This fillable share certificate template is suitable for use by a private company that is limited by shares and is registered in England and/or Wales. 

A share certificate is a document which certifies registered ownership of shares from a particular date. Key information on a share certificate includes:

  • Certificate number
  • Company name and registration number
  • Shareholder name and address
  • Number of shares owned
  • Class of shares
  • Issue date of shares
  • The nominal value of each share

A company must issue share certificates for its shareholders within two months of the company formation or the date of a new share issue or transfer. 

Regardless of the certificate, however, shares must still be correctly issued or transferred to the new shareholder and the shareholder’s name must be added to the company’s internal register of members.

A company may have more than just one class of shares. This share certificate template may be used for any of them, although it should be noted that a separate share certificate must be issued for each class of shares held. For example, where someone holds some shares that are of one class and holds also other shares that are of a different class then two separate share certificates must be issued to that shareholder.
